Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and HumanShift Workforce, Inc. ("HumanShift," "Company," "we," "us," or "our"), governing your access to and use of the HumanShift platform located at humanshift.com, including all associated web applications, APIs, and services (collectively, the "Platform"). By creating an account or otherwise accessing the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must discontinue use of the Platform immediately.
1. ACCEPTANCE OF TERMS
By accessing or using the Platform, you represent and warrant that you are at least eighteen (18) years of age and possess the legal capacity to enter into this agreement. If you are accessing the Platform on behalf of an organization, you further represent that you have the authority to bind that organization to these Terms. Your continued use of the Platform following the posting of any modifications to these Terms shall constitute your acceptance of such modifications.
2. USER ACCOUNTS AND REGISTRATION
Access to the Platform requires registration via Google Single Sign-On ("SSO") or another authentication method designated by HumanShift. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to maintain its accuracy. You are solely responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to notify HumanShift immediately of any unauthorized use of your account or any other breach of security. HumanShift shall not be liable for any loss or damage arising from your failure to comply with these obligations. We reserve the right to suspend or terminate any account that we reasonably believe has been compromised, is being used in violation of these Terms, or has remained inactive for a period exceeding twelve (12) consecutive months, with reasonable prior notice where feasible.
3. DESCRIPTION OF SERVICES
HumanShift operates a managed career-transition marketplace that provides automated skill-mapping tools, peer mentorship matching, certification roadmaps, and employer placement services designed to facilitate the transition of displaced technology workers into skilled trades and human-care professions. All services provided to individual Users are offered at no cost. The Company monetizes exclusively through placement fees charged to participating employers upon successful candidate placement. HumanShift makes no guarantee, representation, or warranty that use of the Platform will result in employment, apprenticeship placement, professional certification, or any particular outcome. The Platform serves as a facilitation tool; all final hiring and placement decisions rest solely with the participating employers and certifying bodies.
4. ACCEPTABLE USE POLICY
You agree to use the Platform solely for its intended purpose of career development, professional transition, and peer support. You shall not use the Platform to harass, abuse, threaten, defame, or discriminate against any other User, mentor, employer, or third party. You shall not misrepresent your identity, professional qualifications, employment history, or credentials in any profile, communication, or application submitted through the Platform. You shall not upload, transmit, or distribute any content that is unlawful, harmful, fraudulent, or infringing upon the intellectual property rights of any third party. You shall not attempt to reverse-engineer, decompile, scrape, crawl, or extract data from the Platform for any unauthorized commercial or competitive purpose. You shall not use the Platform's automated skill-mapping features to generate fraudulent credentials, fabricated work histories, or misleading professional representations. Violation of this Acceptable Use Policy may result in immediate account suspension or permanent termination, at the sole discretion of HumanShift, without prior notice or liability.
5. INTELLECTUAL PROPERTY RIGHTS
User Content. You retain full and exclusive ownership of all content that you submit, upload, or otherwise provide to the Platform, including but not limited to your resume data, professional history, profile information, peer-review contributions, and mentorship communications. All system-generated outputs produced by the Platform on your behalf — including skill translations, translated trade profiles, competency mappings, and career roadmaps — are and shall remain your sole property. By using the Platform, you grant HumanShift a limited, non-exclusive, royalty-free, revocable license to use, reproduce, and display your content solely for the purpose of operating, maintaining, and improving the Platform and its services.
Company Content. The HumanShift name, logo, visual design, proprietary curriculum, assessment frameworks, matching algorithms, and all associated intellectual property are owned exclusively by HumanShift Workforce, Inc. and are protected under applicable United States and international copyright, trademark, and trade secret laws. No license, right, or interest in any Company intellectual property is granted to you except as expressly set forth in these Terms. You may not copy, modify, distribute, sell, lease, or create derivative works from any Company Content without prior written consent from an authorized officer of HumanShift.
6. PEER MENTORSHIP AND COMMUNITY CONDUCT
The HumanShift "Torrent" mentorship model operates on a voluntary pay-it-forward social contract. Users who successfully secure employment through or during their engagement with the Platform are strongly encouraged to serve as mentors to incoming participants. While active mentorship participation may be reflected in your community standing and platform privileges, it does not constitute a binding legal obligation. All mentorship interactions, community discussions, and peer communications must adhere to the HumanShift Community Guidelines, which are incorporated herein by reference. HumanShift reserves the right to moderate, restrict, or remove access to community features at any time in order to maintain a safe, supportive, and professional environment for all Users.
7. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HUMANSHIFT WORKFORCE, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF INCOME, LOSS OF EMPLOYMENT OPPORTUNITIES, BUSINESS INTERRUPTION, LOSS OF DATA, OR LOSS OF GOODWILL, WHETHER ARISING FROM CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF HUMANSHIFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES TO, WITHOUT LIMITATION, DAMAGES ARISING FROM INACCURACIES IN SYSTEM-GENERATED SKILL MAPPINGS OR JOB MATCHING, DISRUPTIONS TO PLATFORM AVAILABILITY OR DATA LOSS DUE TO THIRD-PARTY SERVICE FAILURES, AND ACTIONS OR OMISSIONS OF EMPLOYERS, MENTORS, OR OTHER USERS ON THE PLATFORM. THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. HUMANSHIFT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
8. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless HumanShift Workforce, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Platform, your violation of these Terms, your violation of any applicable law or regulation, or your infringement of any rights of a third party.
9. MODIFICATIONS TO TERMS
HumanShift reserves the right to modify these Terms at any time. When we make material changes, we will provide notice via email to the address associated with your account or through a prominent notification on the Platform no fewer than thirty (30) days prior to the effective date of such changes. Your continued use of the Platform following the effective date of any modification constitutes your binding acceptance of the revised Terms. If you do not agree to the modified Terms, you must cease all use of the Platform and delete your account.
10. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in English by a single arbitrator, and the arbitrator's decision shall be final and binding. Judgment on the award may be entered in any court having jurisdiction thereof. Each party shall bear its own costs of arbitration unless the arbitrator determines otherwise.
11. SEVERABILITY
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.
